The governance system of the companies operating within the Amadori Group is aimed at ensuring legality, transparency and fairness in all its business activities.
This system is further supported by our compliance process, established in 2013 in accordance with Legislative Decree 231/2001 ("Decree 231") regarding the “administrative liability of legal persons, companies and associations, including those without legal personality.”
The presence of a governance system in accordance with Decree 231 makes it possible to establish, on a voluntary basis, a structured system of protocols and control activities that supports management at various levels in preventing the risks of crime, for example, in the areas of consumer protection, product quality and animal welfare, occupational health and safety, environmental protection, anti-corruption and fair competition: the 231 Organization, Management and Control Model (Model 231).
Recognizing it as a fundamental tool to protect the company, its employees, and its collaborators, numerous entities within the Amadori Group have progressively adopted this approach. Each has implemented its own Model 231 aligned with Group-level risk assessments, fully overseen and audited by management and their respective Supervisory Boards.
The cornerstone of Model 231 across all Amadori Group companies is our Code of Ethics. It serves as our charter of values and guiding principles, setting the foundation for all corporate activities, and defining the ethical and social responsibility of every member of the organization.
The objective of the Code of Ethics is to foster a corporate culture and framework that deters crime-risk behavior while ensuring the company is perceived and valued as a standard of moral, social, and environmental responsibility.
Accordingly, the Amadori Group places Model 231 among the most important compliance safeguards, which together with the other components of the internal control and risk management system helps to ensure a business activity in which legality is an indispensable prerequisite for the creation of value and sustainability.
To date, Amadori S.p.A., Agricola Amadori S.p.A., Alimentare Amadori S.p.A. GESCO s.c.a., AVI.COOP s.c.a., ALL.COOP s.c.a., RIPRO-COOP s.c.a., AVIPUGLIA s.c.a., Rugger S.r.l., Forno D'Oro S.r.l, Società Agricola Santamaria S.r.l., Società Agricola Mantovana S.r.l. and Fast Road S.r.l. have adopted their own Model 231 in accordance with Decree 231, with related Code of Ethics. All Group Companies have adopted the Code of Ethics.
